Terms and Conditions – PrimeVOIP Limited Effective Date: 01/06/2025

These Terms and Conditions ("TOS") constitute a legally binding agreement between you (the "Customer") and PrimeVOIP Limited (the "Provider"). By using our services, you acknowledge that you have read, understood, and agree to be bound by these TOS.

PrimeVoIP Limited is a provider of cloud-based VoIP and PBX services. We are not a licensed telecommunications carrier in any jurisdiction. All telephone numbers, inbound/outbound calling, and PSTN connectivity are provided through third-party licensed carriers or affiliates.

You agree to use these services in compliance with all applicable telecommunications regulations in your jurisdiction. You further acknowledge that PrimeVoIP Limited is not liable for any misuse of telephony services or numbers in jurisdictions where VoIP or PSTN access is regulated.

  1. Definitions
  • "Customer Account": A secure dashboard containing account information, billing, service usage, and personal data.
  • "DID": Direct Inward Dialing number.
  • "VoIP": Voice over Internet Protocol services.
  • "SIP": Session Initiation Protocol used for signaling and controlling multimedia sessions.
  • "PBX": Private Branch Exchange, a private telephone network.
  • "Provider": PrimeVOIP Limited.
  1. Services Provider offers cloud-based VoIP services including hosted PBX, SIP trunking, and DID provisioning. Services are delivered via third-party licensed carriers.
  2. Eligibility for Services Customers must:
  • Be of legal age;
  • Provide accurate registration details;
  • Complete KYC procedures if required;
  • Accept these TOS.
  1. Fees and Payments All services are prepaid. Customers are responsible for maintaining a positive balance. Rates may change with prior notice.
  2. Currency All transactions are in U.S. Dollars unless otherwise stated.
  3. Refunds Refunds are only issued for unused balances upon account closure. No refunds for services already consumed or incorrectly configured customer devices.
  4. Customer Account Customers are responsible for securing their credentials and monitoring usage. Provider is not liable for unauthorized access.
  5. Reseller Price Changes Resellers must provide 30 days' notice for price adjustments. Approval is required for DID reselling.
  6. Obligations of Customer Customer agrees to:
  • Use services lawfully;
  • Maintain system security;
  • Bear responsibility for call charges including unauthorized traffic.
  1. Obligations of Provider Provider will:
  • Deliver services as agreed;
  • Inform customers of material changes;
  • Maintain service availability subject to upstream constraints.
  1. Intellectual Property All intellectual property remains the property of the respective owners. Use is licensed, not sold.
  2. Confidentiality Both parties agree to protect confidential information shared during the course of service.
  3. Customer Logo Provider may use the customer's logo for marketing with written consent.
  4. Relationship of Parties The agreement does not create a partnership or employer-employee relationship.
  5. Arbitration and Dispute Resolution Disputes will be resolved through arbitration in Hong Kong unless otherwise agreed.
  6. Governing Laws These TOS are governed by the laws of Hong Kong.
  7. Indemnification Customer agrees to indemnify Provider against claims arising from misuse of services or breach of these TOS.
  8. Force Majeure Neither party shall be liable for delays or failures due to events beyond their control.
  9. Limitation of Liability Provider is not liable for indirect or consequential damages. Liability is limited to fees paid in the last 30 days.
  10. Acceptable Use Policy Customer agrees not to:
  • Engage in spam or fraud;
  • Bypass security systems;
  • Violate local or international laws.
  1. Excluded Services Provider does not offer emergency calling, fax support, or services in jurisdictions where VoIP is restricted.
  2. Service Restrictions Provider may impose channel limits or block destinations to prevent abuse or fraud.
  3. Prohibited Use, Regional Unavailability Service is unavailable in certain jurisdictions. Usage from restricted regions may result in termination.
  4. Suspension of Services Services may be suspended for non-payment, fraud, or regulatory reasons without prior notice.
  5. Ownership DIDs are leased, not owned. Porting rights depend on the upstream carrier’s policies.
  6. TOS Changes Provider may update these TOS. Continued use of services implies acceptance.
  7. Electronic Signatures Use of services constitutes agreement via electronic signature.
  8. Entire Agreement These TOS supersede all prior agreements between the parties.
  9. Assignment Provider may assign this agreement. Customer requires written consent to assign their obligations.
  10. Effective Date These TOS are effective as of the date stated above and apply to all current and future customers.
